1. Acceptance of Terms

Welcome to MedGraphAI. By accessing or using the MedGraphAI website and services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and MedGraphAI (“we,” “our,” or “us”). Our Privacy Policy, which explains how we handle your personal data, is incorporated by reference into these Terms.

2. Eligibility

You must be at least 13 years of age to use the Service. By creating an account, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

3.1 Registration

To access certain features of the Service, you must register an account using a valid email address and password. You agree to provide accurate, current, and complete registration information and to update such information as necessary.

3.2 Email Verification

Upon registration, we will send a verification code to your email address. You must verify your email address before you can log in and use the Service.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.4 One Account Per User

Each individual may maintain only one account. Creating multiple accounts to circumvent quota limits or for any other purpose is a violation of these Terms and may result in termination of all associated accounts.

4. Membership and Quotas

4.1 Membership Tiers

MedGraphAI offers the following membership tiers:

  • Starter ($3 one-time): 3 figure generations, 7-day access. One purchase per account.
  • Pro ($19/month): 15 figure generations per billing cycle (30 days). Annual plan available.
  • Max ($49/month): 50 figure generations per billing cycle (30 days). Annual plan available.

Membership details, pricing, and quota limits are subject to change. We will notify you of material changes via email before they take effect.

4.2 Quota Enforcement

Each figure generation or export counts toward your quota. Quotas reset at the beginning of each billing cycle. Unused quota does not roll over to the next cycle unless explicitly stated. Attempting to circumvent quota limits (e.g., by creating multiple accounts) is prohibited.

4.3 Paid Memberships

Paid memberships (Pro and Researcher) require a valid payment method. You authorize us to charge the applicable fees at the start of each billing cycle. Fees are non-refundable except as required by applicable law. You may cancel your paid membership at any time; cancellation takes effect at the end of the current billing cycle.

5. Acceptable Use

You agree not to use the Service to:

  • Upload, generate, or distribute content that is unlawful, defamatory, obscene, harassing, or otherwise objectionable.
  • Infringe upon the intellectual property rights of others.
  • Generate fraudulent, misleading, or scientifically falsified figures or data representations.
  • Attempt to reverse engineer, decompile, or extract the source code of the Service or its underlying AI models.
  • Use automated means (bots, scrapers, scripts) to access the Service without our express permission.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to develop competing products or services.
  • Transmit viruses, malware, or other malicious code.

We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions, including terminating their account and reporting violations to law enforcement authorities.

6. User Content

6.1 Ownership

You retain all ownership rights to the manuscripts, figures, images, and other content you upload to the Service (“User Content”). We do not claim ownership of your User Content.

6.2 License to Process

By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to process, store, and transmit your User Content solely for the purpose of providing the Service (i.e., analyzing documents and generating figures). This license terminates when you delete your User Content or your account.

6.3 Your Responsibilities

You represent and warrant that:

  • You own or have the necessary rights and permissions to upload and use your User Content.
  • Your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.
  • Your User Content complies with all applicable laws and regulations.

6.4 Generated Content

Figures generated by the Service (“Generated Content”) are created using AI models. You own the Generated Content produced from your User Content, subject to any third-party rights in the underlying AI models. We make no warranty that Generated Content does not infringe third-party rights, and you are responsible for verifying the originality and accuracy of Generated Content before publication or distribution.

7. Intellectual Property

The Service, including its underlying code, algorithms, design, user interface, branding, and all other intellectual property (excluding User Content and Generated Content), is owned by MedGraphAI and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

“MedGraphAI” and associated logos are trademarks of MedGraphAI. You may not use these trademarks without our prior written consent.

8. Third-Party AI Providers

The Service uses third-party large language model (LLM) and image generation providers (e.g., OpenAI, Anthropic) to analyze documents and generate figures. Your use of AI-powered features is subject to the terms and policies of those third-party providers in addition to these Terms. We are not responsible for the content, accuracy, or availability of third-party AI services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that the Service will be uninterrupted, error-free, or secure.
  • Warranties regarding the accuracy, completeness, or reliability of Generated Content.
  • Warranties that AI-generated figures are suitable for publication in any specific journal or venue.

You acknowledge that AI-generated content may contain errors, biases, or inaccuracies. You are solely responsible for reviewing and validating all Generated Content before relying on it for any purpose, including academic publication.

9.1 Medical Disclaimer

MedGraph AI is an illustration software tool and does not provide medical advice, diagnosis, or treatment. All content generated by the Service, including but not limited to graphical abstracts, workflow diagrams, mechanism figures, and any accompanying text or annotations, is for research and educational purposes only. The Service is not a medical device and is not intended for clinical use, patient care, or any purpose that could directly or indirectly affect human health or safety. You should always consult a qualified healthcare professional for any medical questions or concerns. Reliance on any information or figure content generated by the Service is solely at your own risk.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEDGRAPH AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR RESEARCH OPPORTUNITIES, ARISING OUT OF OR RELATING TO:

  • Your use of or inability to use the Service.
  • Any errors or inaccuracies in Generated Content.
  • Unauthorized access to or alteration of your User Content.
  • Any third-party conduct or content on the Service.

Our aggregate liability for any claims arising out of these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless MedGraphAI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms.
  • Your User Content, including any infringement of third-party rights.
  • Your use of Generated Content, including any reliance on its accuracy for publication.
  • Your violation of any applicable law or regulation.

12. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, abusive behavior, prolonged inactivity, or requests by law enforcement.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease. We will retain your data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including Sections 7, 9, 10, 11, and 13) shall survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MedGraphAI is established, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith informal negotiations. If the dispute cannot be resolved informally within 30 days, either party may pursue resolution through binding arbitration or, where applicable, small claims court. Both parties waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will revise the “Last updated” date at the top of this page. For material changes, we will notify registered users via email at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and MedGraphAI regarding the Service and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
